Our corporate governance structure ensures effective oversight and supports long-term value creation for our stakeholders.

The ultimate authority in all matters lies with the Annual General Meeting (AGM).

The Board of Directors sets the strategic direction of Royal Unibrew Group and oversees our corporate strategy, including our sustainability strategy, risks, goals, and performance. The Board comprises six independent, AGM-elected members and three employee-elected members. It is evaluated annually to ensure the right mix of competencies and diversity (currently 50:50 gender split among AGM-elected members).

The Executive Management (CEO and CFO) is responsible for executing the strategy and sustainability agenda together with the Senior and Growth Leadership Team, which includes senior leaders from key markets and Group functions.

The Audit Committee supports the Board by overseeing the quality of reporting, compliance with legal requirements, risk management, and the performance of external auditors. It also assists in evaluating sustainability actions and goals.

Impact and risk governance, including business ethics, whistleblower cases, and ESG, financial and cybersecurity risks, is managed by the Group General Counsel and the Director of Treasury, Finance & ESG, with the CEO holding overall responsibility.
